1. Agreement to Terms
By accessing or using Wingman.club ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform. These Terms constitute a legally binding agreement between you and Wingman.club, operated by Ashley Justice, Australia.
2. Description of Service
Wingman.club is an AI-powered operating system and marketplace for content creators and influencers. The Platform provides tools for managing brand deals, growing audiences, tracking revenue, creating media kits, and connecting with brands and other creators.
3. Eligibility
You must be at least 16 years of age to use the Platform. By using Wingman.club, you represent that you are at least 16 years old and have the legal capacity to enter into these Terms. If you are using the Platform on behalf of a business, you represent that you have authority to bind that business to these Terms.
4. Account Registration
To access certain features, you must create an account. You agree to provide accurate, current, and complete information and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. 5. Subscriptions and Payments
Some features of Wingman.club require a paid subscription. By subscribing, you authorise us to charge your payment method on a recurring basis at the applicable subscription rate. All payments are processed securely through Stripe.
Free Trial: Where a free trial is offered, you will not be charged during the trial period. You may cancel at any time before the trial ends to avoid being charged.
Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods unless required by applicable law.
Refunds: Refund requests are considered on a case-by-case basis. Contact us at [email protected] within 14 days of a charge if you believe you are entitled to a refund.
6. Acceptable Use
You agree not to use Wingman.club to:
- Violate any applicable laws or regulations
- Post or transmit content that is illegal, harmful, threatening, abusive, or defamatory
- Impersonate any person or entity
- Engage in spam, phishing, or fraudulent activity
- Attempt to gain unauthorised access to the Platform or other users' accounts
- Scrape, crawl, or extract data from the Platform without our written consent
- Interfere with or disrupt the Platform's infrastructure
- Use the Platform to promote competing services
7. User Content
You retain ownership of content you submit to the Platform ("User Content"). By submitting User Content, you grant Wingman.club a non-exclusive, worldwide, royalty-free licence to use, display, and distribute your User Content solely for the purpose of operating and improving the Platform.
You are solely responsible for your User Content and represent that you have all necessary rights to submit it. We reserve the right to remove any User Content that violates these Terms.
8. Intellectual Property
All content, features, and functionality of Wingman.club — including but not limited to text, graphics, logos, and software — are owned by or licensed to Wingman.club and are protected by Australian and international intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.
9. Third-Party Services
The Platform integrates with third-party services (including social media platforms, Stripe, and analytics providers). Your use of those services is governed by their respective terms and privacy policies. We are not responsible for the practices of third-party services.
10. Disclaimer of Warranties
Wingman.club is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. To the fullest extent permitted by applicable law, we disclaim all warranties.
11. Limitation of Liability
To the maximum extent permitted by law, Wingman.club and its founder shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability to you for any claim arising from these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under Australian Consumer Law.
12. Indemnification
You agree to indemnify and hold harmless Wingman.club and its founder from any claims, damages, losses, and expenses (including legal fees) arising from your use of the Platform, your User Content, or your violation of these Terms.
13. Termination
We reserve the right to suspend or terminate your account at any time for violation of these Terms, with or without notice. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination will continue to apply.
14. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia, except where mandatory consumer protection laws in your jurisdiction provide otherwise.
15. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Platform. Your continued use of Wingman.club after changes are posted constitutes your acceptance of the updated Terms.
